Background

The Creator hereby acknowledges the Recipient may receive information regarding the Owner’s business, practices, or other properties that may be considered confidential. Therefore, the Parties are in agreement to the following terms and conditions of this agreement.
IN CONSIDERATION OF and as a condition of the disclosure of the Confidential Information to the Recipient, the receipt and sufficiency of which consideration is hereby acknowledged, both parties agree that the terms and conditions of this Agreement shall be as follows:
Confidential Information
Any proprietary information that the Recipient may acquire through the course of engagement with the Creator and that is not of public knowledge shall be recognized as Confidential Information. Such information includes but not limited to any information in regards to vendors, the pricing of their products and services, technology, software, or product.
The Recipient shall use sound judgment and discretion upon identifying the information whether it is confidential. Should there is uncertainty whether the information is confidential, an approval from the Owner shall be sought prior to the release of any questionable information.
Protection of Confidential Information
The Recipient understands that the Confidential Information disclosed to him/her is of value to the Creator and shall hold all information at the same required level of diligence as how sensitive personal information is held.
The Recipient shall not disclose any Confidential Information to third party vendors or individuals without the Creator’s prior written consent.
The Recipient shall under no circumstances copy, modify, or infringe in any way the Confidential Information that is made available to him/her.
Unauthorized Disclosure
Should any Confidential Information be found to have been disclosed by the Recipient without prior consent from the Creator, the Creator may seek the necessary remedies to protect his/her interest including, but not limited to proceeding for legal remedies and termination of this Agreement.
Non Compete
After the conclusion or termination of this Agreement the Recipient shall not partake in business, solicit, or enter into any new agreements or arrangements with third parties that is under the same industry as the Creator from the period of (DATE?) after the termination of this Agreement.
In the event such circumvention occurs, the liabilities arising from the breach shall be borned by the Recipient and the Owner shall be entitled to any compensation relevant to such matter that may take place from such events occurrence.
Return of Information
Recipient shall return all documents, records, or files containing information deemed Confidential upon the conclusion or termination of this Agreement.
The Recipient shall notify the Creator immediately for any record, file, document containing Confidential Information that has not been returned following the termination or conclusion of this Agreement. Thereafter the documents, files, or records must be destroyed immediately or returned.
Relationship
This Confidential Agreement shall not, any instance, be considered as an agreement to enter into an employment contract.
The existing contractual relationship between the Creator and the Recipient shall not be affected by the effectivity of this Agreement. However, the conclusion, cession, or termination of any existing contractual relations between the Creator and the Recipient shall likewise terminate this Confidential Agreement.
License to Use
The Recipient shall be permitted to use any and all information or products provided by the Owner strictly in the form such property is permitted. Such provision to the Recipient shall remain the Creator’s property ownership and shall be treated as such.
Indemnity
The Recipient agrees to hold the Creator free in the instance of any loss, damage, theft, or injury for any reason. incurred by in connection with the performance of the Creator’s duties hereunder not resulting from its own willful misconduct.
Counterparts
This Confidential Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute as one and the same Contract.
Term
The obligations of this Confidential Agreement shall survive indefinitely including after the termination or conclusion of this agreement.
Assignment
The Parties may not transfer or delegate any of any rights, interests, or obligations found hereunder this agreement to third any third party without the prior written consent of the responding party. This Agreement shall be binding upon, inure to the benefit of and be enforceable by the parties and their respective assigns and successors.
Jurisdiction
Any action arising from or brought under this Contract shall fall under the jurisdiction of [Creator’s State], to the exclusion of all other venues that are hereby expressly and willingly waived by the parties. In case of an action or suit filed by any of the parties hereto due to breach or violation of any of the terms and conditions of this Agreement, the parties agree that the aggrieved party shall be paid in sum equivalent to twenty (20%) percent of the total sums awarded but in no case less than $20,000 as and by way of attorney’s fees, plus the cost of suit and collection of litigation expenses as may be proven in said action and adjudged.
By signing this agreement, the parties agree to the stipulations found in this Agreement.
